These Terms of Service (“Terms”) govern your access to and use of HerBalance LLC’s website, mobile application, and related services (“Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services.   

 

1. Eligibility   

You must be at least 16 years old to use the Services. By creating an account or using the Services, you represent and warrant that you are at least 16. We do not knowingly allow individuals under 16 to register or use the Services.   

 

2. Account Registration   

To access certain features (including the HerBalance app), you may need to create an account. You agree to:   

• Provide accurate, complete, and current information   

• Keep your account information updated   

  Maintain the confidentiality of your login credentials   

• Accept responsibility for all activity occurring under your account   

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.   

 

3. Acceptable Use   

You agree not to:   

• Use the Services for unlawful, harmful, or fraudulent activities   

• Submit false, misleading, or unauthorized information   

• Interfere with or disrupt the Services or underlying systems   

• Attempt to access data or accounts belonging to other users   

• Reverse engineer, copy, or modify the Services without permission

We may suspend or terminate access if we believe your use violates these Terms or poses a risk to other users or our systems.   

 

4. Communication & Notifications   

By providing your email address or phone number, you consent to receive communications from us, including onboarding materials, updates, announcements, security notices, and notifications.  You may unsubscribe from non-essential communications at any time using the provided opt-out mechanisms.   

 

5. Health Disclaimer   

HerBalance LLC provides informational tools and AI-generated fueling, nutrition, and wellness suggestions. We do not provide medical or professional healthcare advice.   

Nothing in the Services:   

• Is intended to diagnose, treat, cure, or prevent any medical condition 

• Should replace guidance from a licensed healthcare provider   

 • Should be interpreted as tailored medical, dietary, or fitness advice   

Always consult a qualified medical professional before making changes to your diet, exercise routine, supplements, or health habits. Use of our Services is at your own risk.   

 

6. Limitation of Liability   

To the fullest extent permitted by law, HerBalance LLC and its affiliates, officers, employees, and partners shall not be liable for any:   

• Indirect, incidental, or consequential damages   

• Loss of profits, revenue, data, or goodwill   

• Damages resulting from errors, interruptions, or inaccuracies in the Services 

• Decisions or actions you take based on any content or tools provided   

In no event shall our total liability exceed the amount you paid for the Services during the 12 months preceding the claim.

7. Intellectual Property   

All content, images, text, branding, features, software, and materials available through the Services are the exclusive property of HerBalance LLC or its licensors and are protected by intellectual property laws.    

 

Reservation of Rights. You acknowledge and agree that the Application is provided under license, and not sold, to you. You do not acquire any ownership interest in the Application under this Agreement, or any other rights thereto other than to use the Application in accordance with the license granted, and subject to all terms, conditions, and restrictions, under this Agreement. Company and its licensors and service providers reserve and shall retain their entire right, title, and interest in and to the Application, including all copyrights, trademarks, and other intellectual property rights therein or relating thereto, except as expressly granted to you in this Agreement. 

 

License Grant. Subject to the terms of this Agreement, HerBalance LLC grants you a limited, non-exclusive, and nontransferable license to: 

1. download, install, and use the Application for your personal, non-commercial use on a mobile device owned or otherwise controlled by you ("Mobile Device") strictly in accordance with the Application's documentation; and  

2. access, stream, download, and use on such Mobile Device the Content and Services made available in or otherwise accessible through the Application or Website, strictly in accordance with this Agreement.  

 

License Restrictions. You may not:   

• copy, distribute, or reproduce content by any means;  

• modify or create derivative works or improvements, whether or not patentable, of the Application; 

• use our trademarks, branding, or assets without written permission; 

• reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Application or any part thereof; 

 

8. Privacy

9. Payments   

Paid features and subscription plans require submitting valid payment information. Payments are securely processed through third-party payment processors such as RevenueCat, the Apple App Store, Google Play Store, Stripe, or similar providers (“Payment Processors”).   

You agree that:   

• We do not store your full payment information   

• Payment Processors may have additional terms and policies that apply 

• Failed or reversed payments may result in suspension of your access   

We are not responsible for errors caused by Payment Processors.   

 

10. Subscription Terms   

Some features of the Services are offered through recurring subscription plans (“Subscriptions”).

By enrolling in a Subscription, you authorize HerBalance LLC and our Payment Processors to automatically charge the applicable fee on a recurring basis until you cancel.   

​

Automatic Renewal:   

 Subscriptions automatically renew at the end of each billing cycle (monthly or annually).   

Managing or Canceling Subscriptions:   

 You may modify or cancel your Subscription at any time through:   

• Your Apple App Store subscription settings   

 • Your Google Play Store subscription settings   

 • Your web subscription management portal (if applicable)   

We cannot cancel a Subscription on your behalf.   

 

Effect of Cancellation:   

 Canceling stops future charges but does not refund the current billing cycle. You will retain access until the end of your paid period.   

 

11. Refund Policy   

All purchases are non-refundable, except where required by law.   

Refunds must be requested directly from the platform where the purchase was made:   

• Apple App Store — refund requests handled by Apple   

 • Google Play Store — refund requests handled by Google   

 • Web purchases — may be handled by our Payment Processor and subject to their review   

We cannot guarantee approval of refunds issued through third-party vendors.

12. Taxes   

Subscription fees and purchases may be subject to applicable sales tax, VAT, GST, or other taxes based on your billing location. Taxes are calculated and collected automatically by our Payment Processors in accordance with local laws.  You are responsible for paying any taxes not collected at the time of purchase.

13. Modifications to the Services   

We may update, change, or discontinue any part of the Services at any time, including features, pricing, or availability. If we make material changes to these Terms, we will provide notice through email, app notification, or website updates.  Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.  

 

14. Termination   

We may suspend or terminate your account if:   

• You violate these Terms   

• You misuse or attempt to interfere with the Services   

• Your payment fails and remains unresolved   

• We believe your actions pose a risk to us or other users   

You may also delete your account at any time. Termination does not entitle you to a refund.   

 

15. Governing Law   

These Terms are governed by and interpreted in accordance with the laws of the State of Texas, without regard to conflict of law rules.  Any disputes arising from these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in Texas.
